It's primarily a Landing Page quality score, one factor is how well the content of the landing page lives up to what was represented in the ad copy, the same verbiage should appear in both. Google and PPC experts have mentioned that it is a huge factor in determining your quality score so if that's low, you might want to focus on bringing that number up.
